Capital Raises

Capital raises can be in the form of cash in exchange for equity, small- and medium-sized business loans, or mixed debt and equity transactions. Each capital raise is unique and requires careful attention to detail. There is no "typical" case when raising money, as investors and venture capital firms have very specific criteria and terms they must get when making investments. Our attorneys will walk you through this process and help get your deal done so you can use it to make money and grow your business.

Investments in Privately-Owned Companies

If you're a private investor or a venture capital firm, you need a law firm to back you up and be available to help you close deals and negotiate terms. From first equity purchase to exit, we'll be on hand to help you close deals and comply with securities laws throughout the process.

Securities Law Filings + Compliance

Capital raising and private investments require securities law compliance. Depending on the type of transaction, you will almost always be required to file with federal or state securities regulators and disclose that a transaction has taken place. Our attorneys have ample experience in securities law compliance and filings. Securities law compliance and filings will be done as required for all capital raises and investments overseen by our attorney.

Types + Pricing

Our rates will typically be the same across buyer and seller transactions, with no difference in the way transactions are treated. Smaller Deals: Depending on the scope of work, small capital raises (under $100,000) can usually be done at a fixed rate. More complex small deals may be done at the firm's hourly rate of $250 per hour. Larger Deals: Work is usually done at the firm's hourly rate of $250 per hour. Fixed rates are less common for larger deals due to the complexity of the transactions and the time it takes to negotiate and close deals. Securities Laws Filings + Compliance: Securities laws compliance and filings work is done at the firm's hourly rate of $250 per hour. Please note: For fundraising deals, JonesKertz, PLLC reserves the right to require a retainer.
